📝 Step-by-Step Process to Register a Section 8 Company
Step 1: Obtain Digital Signature Certificate (DSC)
The first step is to get DSCs for the proposed directors (minimum 2). This is used to digitally sign documents during the registration process.
Step 2: Apply for Director Identification Number (DIN)
DIN is a unique identification number required for each director. It can now be applied for along with SPICe+ Form.
Step 3: Name Approval ( Part A of SPICe+)
You must choose a unique name that reflects your non-profit activities. File Part A of SPICe+ to reserve your name under MCA's approval. This usually takes 2-3 working days, depending upon backlog at CRC, Manesar.
Step 4: Prepare MOA and AOA
Draft the Memorandum of Association (MOA) and Articles of Association (AOA), highlighting the company’s charitable objectives and rules of governance.
Step 5: File SPICe+ Form (Part B)
Submit the following in Part B of SPICe+ form:

After verification by the Registrar of Companies (RoC), a Certificate of Incorporation (COI) with a Company Identification Number (CIN) is issued along with EPFO, ESIC, DIN, PAN, TAN and Account number of selected Bank.
